Expert Terms

When you sign up to become an Expert on the Thkee platform, you agree to abide by these Expert Terms (“Terms”). In these Terms, Expert means anyone who offers content or sessions on Thkee, whether by teaching a course, by taking bookings as a consultant or coach, or by providing content in any other form. These Terms cover details about the aspects of the Thkee platform relevant to Experts and are incorporated by reference into our Terms of Use, the general terms that govern your use of our Services. Any term defined in these Terms carries that meaning wherever it appears. Terms not defined here have the meaning given in the Terms of Use.

As an Expert, you are contracting directly with Thkee, a limited liability company, regardless of whether another Thkee entity facilitates payments to you.

1. Expert Obligations

As an Expert, you are responsible for all content that you post, including lectures, quizzes, coding exercises, practice tests, assignments, resources, answers, course landing page content, labs, assessments, and announcements (“Submitted Content”).

You may not share your account login credentials with anyone else. You are responsible for what happens with your account and Thkee will not intervene in disputes between students or Experts who have shared account login credentials. You must notify us immediately upon learning that someone else may be using your account without your permission (or if you suspect any other breach of security) by contacting our Support Team. We may request some information from you to confirm that you are indeed the owner of your account.

Students and Experts must be at least 18 years of age to create an account on Thkee and use the Services. A person under 18 may be given access to the Services only through an account opened and supervised by a parent or guardian who has given verifiable consent, and that parent or guardian remains responsible for the account. If we discover that an account has been created in breach of this rule, we will terminate it and delete the personal data we have collected from the minor. Under these Terms, you may be requested to verify your identity before you are authorized to submit content for publication on Thkee, so that we can establish who is contracting with us and meet our legal obligations in respect of the payments we make to you; we process that information in accordance with our Privacy Policy.

You can terminate your account at any time by following the steps in section 7 (Deleting Your Account) below. Check our Privacy Policy to see what happens when you terminate your account.

You represent and warrant that:

you will provide and maintain accurate account information;
you own or have the necessary licenses, rights, consents, permissions, and authority to authorize Thkee to use your Submitted Content as specified in these Terms and the Terms of Use;
your Submitted Content will not infringe or misappropriate any third party’s intellectual property rights;
you have the required qualifications, credentials, and expertise (including education, training, knowledge, and skill sets) to teach and offer the services that you offer through your Submitted Content and use of the Services; and
you will ensure a quality of service that corresponds with the standards of your industry and instruction services in general.

You warrant that you will not:

post or provide any inappropriate, offensive, racist, hateful, sexist, pornographic, false, misleading, incorrect, infringing, defamatory or libelous content or information;
post or transmit any unsolicited or unauthorized advertising, promotional materials, junk mail, spam, or any other form of solicitation (commercial or otherwise) through the Services or to any user;
use the Services for business other than providing tutoring, teaching, and instructional services to students;
engage in any activity that would require us to obtain licenses from or pay royalties to any third party, including the need to pay royalties for the public performance of a musical work or sound recording;
frame or embed the Services (such as to embed a free version of a course) or otherwise circumvent the Services;
impersonate another person or gain unauthorized access to another person’s account;
interfere with or otherwise prevent other Experts from providing their services or content; or
abuse Thkee resources, including support services.

Where you deliver live sessions through the Services, the requirements of this section apply equally to your live delivery. What you say, show, present, share, or play during a live session is subject to the same requirements and restrictions as your uploaded Submitted Content, including the policies referred to in section 3 (Trust & Safety).

You represent and warrant that you hold the rights, licenses, consents, and permissions necessary for any material you display, present, or play in a live session, including slides, images, video, and music, whether created by you or by a third party, to the same extent as for your uploaded Submitted Content.

You are responsible for the conduct of participants in the sessions you host. You must act on disruptive, abusive, or prohibited behavior when it occurs, using the moderation tools that the Services make available to you, and you must inform us of any serious incident through our Support Team.

You are responsible for the teaching you provide and for what takes place in the sessions you host. Thkee provides the platform through which those sessions are delivered and does not teach in them or supervise their content. This does not limit Thkee’s responsibility for operating the Services, and nothing in this paragraph affects a student’s rights under the laws in force in the Kingdom of Saudi Arabia.

2. License to Thkee

You grant Thkee the rights detailed in the Terms of Use to offer, market, and otherwise exploit your Submitted Content. This includes the right to add captions or otherwise modify Submitted Content to ensure accessibility. You also authorize Thkee to sublicense these rights to your Submitted Content to third parties, including to students directly and through third parties such as resellers, distributors, affiliate sites, deal sites, and paid advertising on third-party platforms.

Unless otherwise agreed (including within our Promotions Policy), you have the right to remove all or any portion of your Submitted Content from the Services at any time. Except as otherwise agreed, Thkee’s right to sublicense the rights in this section will terminate with respect to new users 60 days after the Submitted Content’s removal. However, (1) rights given to students before the Submitted Content’s removal will continue in accordance with the terms of those licenses (including the guaranteed access period described in the Terms of Use) and (2) Thkee’s right to use such Submitted Content for marketing purposes shall survive termination, except that this right ends, as to uses made after that point, if you withdraw the permission given in the paragraph below or exercise your right as author to withdraw your work from circulation under the copyright law in force in the Kingdom of Saudi Arabia.

We may record and use all or any part of your Submitted Content for quality control and for delivering, marketing, promoting, demonstrating, or operating the Services. You give Thkee your explicit permission to use your name, likeness, voice, and image in connection with offering, delivering, marketing, promoting, demonstrating, and selling the Services, your Submitted Content, or Thkee’s content. That permission is separate from the licence granted in this section, is acted on in accordance with our Privacy Policy, and you may withdraw it at any time by written notice to us, with effect for uses made after the withdrawal. Nothing in these Terms is a waiver of your rights of privacy, or of your moral rights as author under the copyright law in force in the Kingdom of Saudi Arabia, including your right to be identified as the author of your Submitted Content and your right to object to any distortion of it. Those rights are reserved to you and cannot be waived.

Recording is enabled by default for live sessions, and you may disable it for your own sessions using the controls provided in the Services. Participants are told before joining a session whether it is being recorded. Where recording is enabled, you consent to your voice and image being recorded in the session and to Thkee making that recording available to the students enrolled in the relevant Submitted Content, in accordance with these Terms and the Terms of Use in force. Live sessions are delivered through a specialised third-party provider of live-video infrastructure, and recordings are stored on infrastructure located outside the Kingdom of Saudi Arabia.

3. Trust & Safety

3.1 Trust & Safety Policies

You agree to abide by Thkee’s Trust & Safety policies, Restricted Topics policy, and other content quality standards or policies prescribed by Thkee from time to time. You should check these policies periodically to ensure that you comply with any updates to them. You understand that your use of the Services is subject to Thkee’s approval. Where we decline an application or withdraw approval, we will tell you the reason and how to ask us to reconsider.

We may remove content, suspend payouts, and/or restrict or close an Expert’s account where there is a legitimate reason to do so, including where:

an Expert or content does not comply with our policies or legal terms (including the Terms of Use);
content falls below our quality standards or has a negative impact on the student experience;
an Expert engages in behavior that might reflect unfavorably on Thkee or bring Thkee into public disrepute, contempt, scandal, or ridicule;
an Expert engages the services of a marketer or other business partner who violates Thkee’s policies;
an Expert uses the Services in a way that constitutes unfair competition, such as promotion of their off-site business in a way that violates Thkee’s policies; or
we are required to act by the laws in force in the Kingdom of Saudi Arabia or by an order of a competent judicial or regulatory authority.

We will give you notice of any such action and of the reason for it before it takes effect, unless delay would expose students, third parties, or Thkee to harm, or we are required to act immediately by law or by an order of a competent authority, in which case we will notify you as soon as reasonably practicable afterwards. You may ask us to review the decision by contacting our Support Team, and we will review it and reply to you. Where we suspend payouts, we will do so only for as long as is necessary to complete that review, and any amount found to be properly due to you will be paid once the review ends. Nothing in this section affects a student’s right to a refund for content or sessions that have been paid for and not delivered.

3.2 Co-Experts and Teaching Assistants

The Thkee platform allows you to add other users as co-Experts or teaching assistants for Submitted Content that you manage, and you are required to comply with our Co-Expert Relationship Rules and Guidelines when taking such actions. By adding a co-Expert or teaching assistant, you understand that you are authorizing them to take certain actions that affect your Thkee account and Submitted Content. Violations of Thkee’s terms and policies by your co-Expert or teaching assistant may also impact your Thkee account and Submitted Content. Thkee is not able to advise on any questions or mediate any disputes between you and such users. If your co-Experts have an assigned revenue share, their share will be paid out of your earned revenue share based on the ratios you have specified in your Course Management settings as of the date of the purchase.

3.3 Relationship to Other Users

Experts don’t have a direct contractual relationship with students, so the only information you’ll receive about students is what is provided to you through the Services. You agree that you will not use the data you receive for any purpose other than providing your services to those students on the Thkee platform, and that you won’t solicit additional personal data or store students’ personal data outside the Thkee platform. In respect of students’ personal data, Thkee is the controller and you act only on Thkee’s documented instructions. You must keep that data confidential and secure, must not transfer it outside the Kingdom of Saudi Arabia without our prior written approval, must notify us without undue delay if you become aware of any incident affecting it, must assist us in responding to a student who wishes to exercise their rights over their data, and must delete or return it once you no longer need it to provide your services. You agree to indemnify Thkee against any claims arising from your use of students’ personal data in breach of this section.

3.4 Anti-Piracy Efforts

We partner with anti-piracy vendors to help protect your content from unauthorized use. To enable this protection, you authorize Thkee and our anti-piracy vendors to submit administrative notice and takedown requests on your behalf, in respect of your content, to platforms, hosting providers, and other intermediaries, under the copyright law in force in the Kingdom of Saudi Arabia and under any other law applicable to the intermediary concerned. This authorization is limited to those administrative requests. It does not extend to any filing before a court or a competent authority, and it does not create a general agency; any such filing requires a separate notarized power of attorney from you. You may act on your own behalf at any time.

You agree that Thkee and our anti-piracy vendors will retain this authorization unless you revoke it by sending an email to piracy@thkee.com with the subject line: “Revoke Anti-Piracy Protection Rights” from the email address associated with your account. Any revocation will be effective 48 hours after we receive it.

4. Pricing

4.1 Price Setting

When creating Submitted Content available for purchase on Thkee, you will be prompted to select a base price (“Base Price”) for your Submitted Content from a list of available price tiers. Alternatively, you may choose to offer your Submitted Content for free. As a premium Expert, you will also be given the opportunity to participate in certain promotional programs under the terms of our Promotions Policy (“Promotional Programs”).

If you do not opt to participate in any Promotional Programs, we will list your Submitted Content for the Base Price or the closest local or mobile app equivalent (as detailed below). If you opt to participate in a Promotional Program, we may set a different discounted price or list price for your Submitted Content as described in the Promotions Policy.

When a student purchases using a foreign currency, we will convert the relevant Base Price or Promotional Program price into the student’s applicable currency using a system-wide foreign currency conversion rate set by Thkee and fixed periodically into a table of corresponding price tiers by currency (“Price Tier Matrix”). Since the Price Tier Matrix is fixed, those conversion rates may not be identical to the applicable market rate in effect when a transaction is processed. We reserve the right to update the Price Tier Matrix at any time. The Price Tier Matrix and additional information on Thkee’s pricing tiers are available here.

When a student purchases through a mobile application, the mobile platform provider’s pricing matrix will control, and we will choose the price tier closest to the applicable Base Price or Promotional Program price. Because mobile platforms impose their own currency conversion rates, conversions for mobile app prices may not match the conversions in the Price Tier Matrix.

You give us permission to share your Submitted Content for free with our employees, with selected partners, and in cases where we need to restore access to accounts who have previously purchased your Submitted Content. You understand that you will not receive compensation in these cases.

4.2 Transaction Taxes

Where the law applicable to a sale requires Thkee to collect value added tax or any other similar transaction tax (“Transaction Taxes”), we will collect and remit those Transaction Taxes to the competent tax authority for those sales. In the Kingdom of Saudi Arabia this means value added tax; whether Thkee or you is the taxable supplier for a given sale depends on the value added tax rules in force and on your own registration status, and you remain responsible for your own registration, invoicing, and filing obligations. We may increase the sale price where we determine that such taxes are due. For purchases through mobile applications, applicable Transaction Taxes are collected by the mobile platform (such as Apple’s App Store or Google Play).

4.3 Promotional Programs

Thkee offers several optional marketing programs (Promotional Programs) in which you can choose to participate, as detailed in our Promotions Policy. These programs can help increase your revenue potential on Thkee by finding the optimal price point for your Submitted Content and offering it through subscription collections.

There is no up-front cost to participate in these programs, and you can modify your participation status at any time, though changes you make will not apply to currently active campaigns and certain programs may have additional requirements on termination.

5. Payments

5.1 Revenue Share

When a student purchases your Submitted Content, we calculate the gross amount of the sale as the amount actually received by Thkee from the student (“Gross Amount”). From this, we subtract any Transaction Taxes, any mobile platform fees applied to mobile provider checkout sales, a 3% service and processing fee for any non-mobile provider checkout sales, and any amounts paid to third parties in connection with the Promotional Programs to calculate the net amount of the sale (“Net Amount”).

Where Thkee brought the sale to you, meaning the student found your content through the Thkee marketplace, through Thkee’s own marketing or advertising, or anywhere else on our Services, your revenue share is 40% of the Net Amount, less any applicable deductions such as student refunds.

Where you brought the sale to Thkee, meaning the student arrives through your own coupon code, your own referral link, or a promotion you ran yourself, your revenue share is 95% of the Net Amount, less any applicable deductions such as student refunds.

If you take part in one of Thkee’s premium, partner, or featured Expert programmes and have signed a separate written agreement with Thkee covering revenue share, that agreement prevails over this section for as long as it remains in force.

We may change these rates. Where a change would reduce your revenue share, we will give you at least 30 days’ notice by prominent means, such as email or a notice posted through our Services, and the change will apply only to sales made after it takes effect, never to sales already completed. In setting and changing these rates we will act in good faith and with due regard to the commercial interests of our Experts, and we will not exercise this right in a way that unfairly deprives you of the benefit of your work on Thkee.

If you opt into any of the Promotional Programs, the relevant revenue share may be different and will be as specified in the Promotions Policy.

Thkee makes all Expert payments in Saudi Riyal (SR) regardless of the currency with which the sale was made. Thkee is not responsible for your foreign currency conversion fees, wiring fees, or any other processing fees that you may incur. Your revenue report will show the sales price (in local currency) and your converted revenue amount (in SR).

5.2 Expert Coupons and Course Referral Links

The Thkee platform allows you to generate coupon codes and referral links to offer certain items of your Submitted Content to students at a discount, at Thkee’s current price, or for free, as permitted within the Services. These coupon codes and referral links are subject to limits, and you may not sell them on third-party websites or otherwise offer them in exchange for compensation. Additional information and restrictions on these coupon codes and referral links are outlined in our Trust & Safety policies.

Where a student applies your coupon code or referral link at checkout, the sale counts as one you brought to Thkee, and your revenue share is the rate set out in section 5.1 for those sales.

5.3 Receiving Payments

For us to pay you in a timely manner, you must own a PayPal, Payoneer, Saudi Arabia bank account, or UAE bank account (for residents only) in good standing and must keep us informed of the correct email associated with your account. You must also provide the identifying information and tax documentation necessary for payment of amounts due, such as your national identity card or residence permit, your commercial registration where you have one, your value added tax registration certificate where you are registered, and, if you are not resident in the Kingdom of Saudi Arabia, a tax residency certificate where you wish to rely on a double taxation treaty. You agree that we may deduct any withholding tax due on payments to non-residents in accordance with the income tax law in force in the Kingdom of Saudi Arabia and its implementing regulations. We may hold a payment for as long as the information or documentation we need in order to make it lawfully is missing, and we will tell you what is missing.

The Kingdom of Saudi Arabia does not impose income tax on the income of individuals. If your annual taxable supplies exceed SAR 375,000, you must register for value added tax and account for it yourself. If you provide your services through a company, that company may be subject to zakat where it is Saudi or GCC owned, or to income tax where it is foreign owned. If you are not resident in the Kingdom, your income is taxed under the law of the place where you are resident, subject to any withholding described above. You remain responsible for your own registration, filing, and payment obligations, and nothing in these Terms is tax advice.

Depending on the applicable revenue share model, payment will be made within 45 days of the end of the month in which (a) we receive the fee for a course or (b) the relevant course consumption occurred.

As an Expert, you are responsible for determining whether you are eligible to be paid by a KSA company. We may decline to pay out funds where fraud, an infringement of intellectual property rights, or another breach of the law has been established. Before we do so we will tell you the reason, and you may respond to us through our Support Team.

If we cannot settle funds into your payment account, we will hold those funds for you, and you may claim them at any time by contacting our Support Team and giving us valid payment details. If they remain unclaimed, we will deal with them in accordance with the laws in force in the Kingdom of Saudi Arabia and the instructions of the competent authority.

5.4 Refunds

You acknowledge and agree that students have the right to receive a refund, as detailed in the Terms of Use and without prejudice to the rights granted to consumers under the laws in force in the Kingdom of Saudi Arabia. Experts will not receive any revenue from transactions for which a refund has been granted under the Terms of Use.

For live sessions, the refund terms that apply to a booking are set by you, within limits that Thkee sets. For your own sessions you may set the number of hours before the first session up to which a booking may be refunded, the platform default being 72 hours; whether a refund remains available once the student has attended a session; and the minimum number of sessions that must still remain for a refund to be granted. The terms you set are shown to the student on the booking page before purchase, and a refund is available only where the booking is confirmed. Whatever you set, Thkee’s own limit applies over it: a student may request a refund through the Services within 30 days of purchase, and after that must contact our Support Team. For example, an Expert who keeps the platform default allows a student to be refunded up to 72 hours before the first session, and allows no refund once the student has attended a session.

If a student asks for a refund after we have paid the relevant Expert payment, we reserve the right to either (1) deduct the amount of the refund from the next payment sent to the Expert or (2) where no further payments are due to the Expert or the payments are insufficient to cover the refunded amounts, require the Expert to refund any amounts refunded to students for the Expert’s Submitted Content.

6. Trademarks

While you are a published Expert and subject to the requirements below, you may use our trademarks where we authorize you to do so.

You must:

only use the images of our trademarks that we make available to you, as detailed in any guidelines we may publish;
only use our trademarks in connection with the promotion and sale of your Submitted Content available on Thkee or your participation on Thkee; and
immediately comply if we request that you discontinue use.

You must not:

use our trademarks in a misleading or disparaging way;
use our trademarks in a way that implies that we endorse, sponsor, or approve of your Submitted Content or services; or
use our trademarks in a way that violates applicable law or in connection with an obscene, indecent, or unlawful topic or material.

7. Deleting Your Account

Instructions on how to delete your Expert account are available here. Any amounts already due to you will be paid in full before your account is deleted, in accordance with section 5.3. You understand that if students have previously enrolled in your Submitted Content, that Submitted Content and your name as its author may remain accessible to those students for as long as their access lasts, so that the licences they have already paid for can be honoured and so that authorship is correctly attributed to you. If you ask us to erase your personal data, we will do so except where we are required to retain it for a defined legal, tax, or accounting period. If you need help or encounter difficulty deleting your account, you can contact us via our Support Center.

8. Miscellaneous Legal Terms

8.1 Updating These Terms

From time to time, we may update these Terms to clarify our practices or to reflect new or different practices (such as when we add new features). If we make any material change, we will notify you using prominent means, such as an email sent to the email address specified in your account or a notice posted through our Services, at least 30 days before the change takes effect, and we will tell you what is changing. Other modifications become effective on the day they are posted unless stated otherwise.

We will ask you to accept any material change. If you do not accept it, you may end these Terms and delete your account under section 7 at any time before the change takes effect, without penalty, and any amounts already due to you will still be paid. A change never applies to sales already completed. Any revised Terms shall supersede all previous Terms.

8.2 Language

These Terms are issued in Arabic and English. In the event of any conflict or difference in interpretation between the two versions, the Arabic version prevails.

8.3 Relationship Between Us

You and we agree that no joint venture, partnership, employment, contractor, or agency relationship exists between us.

8.4 Survival

The following sections shall survive the expiration or termination of these Terms: Sections 2 (License to Thkee), 3.3 (Relationship to Other Users), 5.3 (Receiving Payments), 5.4 (Refunds), 7 (Deleting Your Account), and 8 (Miscellaneous Legal Terms).
